Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Clyphy Corp ("Clyphy," "Company," "we," "our," or "us") governing your access to and use of www.clyphy.com, any related websites, mobile applications, products, services, communications, content, software, and features offered by Clyphy (collectively, the "Services"). By accessing the Website, creating an account, making a purchase, subscribing to communications, participating in promotions, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Services.

Eligibility

The Services are intended only for individuals who are at least eighteen (18) years of age and capable of entering into legally binding contracts. By using the Services, you represent and warrant that you satisfy these requirements. If you access the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

Accounts and Registration

Certain portions of the Services may require registration of an account. You agree to provide accurate, current, and complete information and to maintain and promptly update such information as necessary. You are solely responsible for safeguarding your account credentials and for all activities conducted under your account. You agree to notify Clyphy immediately of any unauthorized access, security breach, or misuse of your account. Clyphy reserves the right to suspend, restrict, or terminate any account at its sole discretion, including accounts suspected of fraudulent, unlawful, abusive, or unauthorized activity.

Products and Services

Clyphy operates an online retail marketplace offering consumer goods, electronics, gadgets, gifts, accessories, and related merchandise. Product availability, pricing, specifications, descriptions, images, and promotions may change at any time without notice. We strive to display products accurately but do not guarantee that product descriptions, photographs, colors, specifications, or other content will be error-free, complete, or current. Minor variations between displayed products and actual products may occur.

Orders and Acceptance

Submission of an order through the Website constitutes an offer to purchase products. Clyphy reserves the right to accept or reject any order for any lawful reason. An order is not accepted until payment has been authorized and shipment confirmation has been issued. We reserve the right to limit quantities, refuse service, cancel orders, correct errors, or require additional verification before fulfilling an order.

Pricing and Payments

All prices are displayed in U.S. Dollars unless otherwise stated. Applicable taxes, shipping fees, duties, tariffs, or other charges may be added during checkout. Payments are processed through Shopify Payments and other authorized third-party payment processors. By submitting payment information, you authorize all applicable charges related to your purchase. You represent and warrant that you are authorized to use the payment method provided.

In the event of pricing errors, technical errors, inventory inaccuracies, or other mistakes, Clyphy reserves the right to cancel or modify affected orders and issue refunds where appropriate.

Shipping and Delivery

Shipping estimates are provided for convenience only and are not guaranteed. Delivery times may vary due to carrier delays, weather events, customs processing, supply chain disruptions, labor shortages, governmental actions, or other circumstances beyond our control. Risk of loss and title transfer to the customer upon delivery of products to the shipping carrier. Customers are responsible for providing accurate shipping information.

Returns, Refunds, and Store Credit

Customers may request returns within thirty (30) days of delivery. Returned products must generally be unused, undamaged, and returned in their original packaging with all included components unless otherwise required by law.

Returns requested within fourteen (14) days of delivery may qualify for a refund to the original method of payment. Returns requested after fourteen (14) days but within thirty (30) days may be eligible for store credit at Clyphy's sole discretion.

Returned merchandise may be subject to a restocking fee of up to twenty percent (20%) of the purchase price or such lesser amount as required by applicable law. Original shipping fees, expedited shipping charges, and other service fees are generally non-refundable. Clyphy reserves the right to refuse returns that do not comply with this policy.

Promotional Offers and Discounts

From time to time, Clyphy may offer coupons, discount codes, promotions, loyalty rewards, referral programs, sweepstakes, contests, giveaways, or special pricing. Such offers may be modified, suspended, revoked, or terminated at any time. Promotions may be subject to separate rules and conditions.

PUser Reviews and User Content

Users may submit reviews, ratings, comments, suggestions, photographs, videos, testimonials, and other content. By submitting content, you grant Clyphy a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, distribute, publish, modify, adapt, create derivative works from, display, and otherwise exploit such content in any media now known or later developed.

You represent and warrant that you own or control all rights necessary to submit such content and that the content does not violate any law or third-party rights.

Prohibited Conduct

You agree not to use the Services to violate any law, infringe intellectual property rights, commit fraud, transmit malicious code, interfere with security features, engage in unauthorized data collection, impersonate another person, manipulate pricing, abuse promotions, interfere with Website operations, or engage in any activity that may harm Clyphy, its customers, suppliers, service providers, or business partners.

Intellectual Property Rights

All Website content, including trademarks, logos, service marks, product listings, software, source code, graphics, text, designs, images, videos, databases, and other materials are owned by or licensed to Clyphy and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

Mobile Messaging Program

By voluntarily providing your mobile telephone number and affirmatively opting into any Clyphy text messaging program, you expressly consent to receive recurring automated marketing, promotional, advertising, transactional, informational, customer service, cart reminder, account notification, and order-related text messages from Clyphy.

Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. You may opt out at any time by replying STOP to any text message. For assistance, reply HELP or contact info@clyphy.com.

You represent that you are the authorized subscriber or customary user of the mobile number provided and agree to notify Clyphy if your number changes. Wireless carriers are not responsible for delayed or undelivered messages.

To comply with applicable law and carrier requirements, Clyphy may maintain records relating to SMS consent, including timestamps, IP addresses, user agents, consent language, webpages visited, account records, and purchase information.

Email Communications

By creating an account, placing an order, subscribing to a mailing list, entering a promotion, or otherwise providing your email address, you consent to receive transactional, operational, and marketing communications from Clyphy. Marketing emails may include promotions, product announcements, newsletters, special offers, and related content. You may unsubscribe from marketing emails at any time using the unsubscribe mechanism contained in such communications.

Consent to Electronic Communications

You consent to receive agreements, disclosures, notices, receipts, confirmations, updates, and other communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing.

Third-Party Services

The Services may integrate with or contain links to third-party platforms, including Shopify, payment processors, shipping providers, analytics services, social media platforms, advertising networks, and other service providers. Clyphy does not control and is not responsible for the products, services, policies, or practices of third parties.

Privacy

Your use of the Services is also governed by the Clyphy Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of Warranties

THE SERVICES, WEBSITE, PRODUCTS, CONTENT, SOFTWARE, AND ALL RELATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLYPHY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OPERATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLYPHY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUCCESSORS, ASSIGNS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, PUNITIVE, OR LOST-PROFIT DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, PRODUCTS, WEBSITE, OR THESE TERMS.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CLYPHY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT PAID BY YOU TO CLYPHY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Clyphy, its affiliates, officers, directors, employees, contractors, service providers, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, fines, penalties, and attorneys' fees arising from your use of the Services, violation of these Terms, violation of applicable law, infringement of intellectual property rights, or violation of the rights of any third party.

Force Majeure

Clyphy shall not be liable for any delay, interruption, or failure to perform resulting from events beyond its reasonable control, including acts of God, natural disasters, severe weather, labor disputes, utility outages, telecommunications failures, cyberattacks, supply chain disruptions, governmental actions, pandemics, public health emergencies, civil unrest, war, or transportation interruptions.

Dispute Resolution and Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, products, services, transactions, communications, marketing activities, SMS programs, email programs, or any relationship between you and Clyphy shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules.

The arbitration shall take place in Sheridan County, Wyoming. The arbitrator shall have exclusive authority to determine issues relating to the interpretation, applicability, enforceability, formation, and scope of this arbitration provision.

Class Action Waiver

YOU AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, MASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

Governing Law

These Terms and any dispute arising from them shall be governed exclusively by the laws of the State of Wyoming without regard to conflict of law principles.

Termination

Clyphy may suspend, restrict, or terminate access to the Services at any time, with or without notice, for any reason, including suspected violations of these Terms. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, arbitration provisions, and governing law provisions.

Changes to These Terms

Clyphy reserves the right to modify these Terms at any time. Updated Terms shall become effective upon posting to the Website. Continued use of the Services following publication of revised Terms constitutes acceptance of the revised Terms.
